TERMS OF SERVICE

1. Binding Legal Agreement

These Terms of Service (“Terms”) form a legally binding agreement between you (“User,” “you”) and:

3. Nature of the Service – Fictional AI Interaction

The Service provides AI-generated conversational experiences for entertainment purposes only.

You acknowledge and agree:

• The AI is an automated system.
• It is not a real person.
• It does not possess awareness, emotions, memory continuity, or intent.
• Outputs may contain inaccuracies, fabrications, fictional scenarios, or logical inconsistencies.
• AI responses are probabilistic and generated without human intent.

You agree not to rely on the Service for:

• Medical advice
• Mental health counseling
• Legal advice
• Financial advice
• Crisis or emergency services

We assume no duty of care in relation to emotional or psychological reliance.

4. No Emotional or Relational Obligation

The Service may simulate affection, intimacy, exclusivity, or romantic attachment.

You expressly acknowledge:

• No real relationship exists.
• No mutual obligation exists.
• The Service cannot reciprocate emotions.
• The Company assumes no liability for emotional reliance, attachment, distress, or dependency.

Use of the Service is voluntary and at your own psychological risk.

5. Account Responsibility

You may register using:

• Email/password
• Apple Sign-In
• Google Sign-In

You are responsible for:

• Maintaining account confidentiality
• All activity under your account
• Ensuring your device security

We are not liable for unauthorized access resulting from your failure to safeguard credentials.

6. User Content & License

You retain ownership of content you submit.

You grant the Company a limited, non-exclusive, worldwide, royalty-free license to host, store, process, and transmit your content solely to operate the Service.

We do not use private chats, images, or voice messages to train AI models.

You represent and warrant that:

• You own or have lawful rights to submit content
• Your content does not violate law
• Your content does not involve minors in sexual contexts
• Your content does not infringe intellectual property rights

You assume full legal responsibility for User Content.

7. Strict Prohibited Conduct

You may not:

• Use the Service if under 18
• Upload illegal content
• Upload sexual content involving minors
• Upload non-consensual intimate imagery
• Reverse engineer, scrape, or extract model data
• Attempt to discover prompts, model weights, or architecture
• Use outputs to train competing AI systems
• Bypass safeguards or moderation
• Use automation to exploit the Service
• Use the Service for unlawful, harassing, or abusive purposes

We reserve the right to suspend, terminate, and report violations to authorities.

8. Sexual and Explicit Content Prohibition

The Service is intended for general entertainment purposes and does not permit the creation, transmission, sharing, solicitation, promotion, or facilitation of sexual or explicit content.

Users may not use the Service to:

• Request, upload, share, or distribute sexually explicit content;
• Create or transmit content depicting nudity, sexual acts, sexual activity, or sexually graphic descriptions;
• Upload sexually explicit images, audio recordings, or other media;
• Use the Service to facilitate, encourage, advertise, or arrange sexual services or sexual activity;
• Attempt to circumvent content filters, moderation systems, or safety mechanisms designed to restrict sexual content.

The Company may employ automated systems and human review processes to detect and enforce restrictions on sexual or explicit content.

Content that violates this section may be removed without notice. The Company may suspend, restrict, or permanently terminate accounts that violate this policy, including repeat or serious violations.

The Company reserves the right to determine, in its sole discretion, whether content is sexual, explicit, or otherwise inconsistent with the intended use of the Service.

9. Intellectual Property Protection

All rights in:

• AI systems
• Model architecture
• Code
• Algorithms
• Branding
• Software
• Interface design

are owned by or licensed to the Company.

You are granted a limited, revocable, non-transferable, non-commercial license to use the Service.

You may not:

• Copy
• Decompile
• Create derivative works
• Republish outputs at scale
• Commercially exploit outputs
• Train machine learning systems using outputs

Unauthorized use constitutes infringement.

10. Platform Dependency Disclaimer

The Service is distributed via third-party platforms including Apple App Store and Google Play.

We are not responsible for:

• Platform outages
• Payment processing failures
• Account suspensions imposed by platforms
• Platform policy enforcement
• App store removal or regional restrictions

Your relationship with Apple or Google is governed by their respective terms.

11. Subscriptions & Billing

Subscriptions renew automatically unless canceled via the app store.

Billing, refunds, cancellations, and disputes are governed exclusively by Apple or Google payment policies.

We do not process or store payment card data.

Failure to maintain payment may result in service interruption.

12. AI Output Disclaimer & Assumption of Risk

AI-generated content:

• May be inaccurate
• May contain fictional statements
• May simulate emotions
• May generate adult themes
• May be offensive or unexpectet
• May contain fictional, unexpected, inaccurate, or otherwise inappropriate content despite the Company's moderation and safety measures

You assume full responsibility for interpreting and using AI outputs.

We disclaim liability for reliance on generated content.

13. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY
• AVAILABILITY
• ERROR-FREE OPERATION

We do not guarantee uninterrupted access.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

WE SHALL NOT BE LIABLE FOR:

• INDIRECT DAMAGES
• INCIDENTAL DAMAGES
• CONSEQUENTIAL DAMAGES
• EMOTIONAL OR PSYCHOLOGICAL DISTRESS
• LOSS OF PROFITS
• LOSS OF DATA
• CONTENT GENERATED BY AI
• PLATFORM-RELATED FAILURES

Our total aggregate liability shall not exceed the greater of:

• USD $100; OR
• The amount paid by you to the Company in the preceding 12 months.

This limitation applies regardless of legal theory.

15. Indemnification

You agree to indemnify and hold harmless the Company from any claims arising out of:

• Your violation of these Terms
• Your User Content
• Your misuse of the Service
• Your violation of applicable law

This obligation survives termination.

16. Mandatory Arbitration & Class Action Waiver (U.S. Users)

For U.S. users:

All disputes shall be resolved through binding arbitration on an individual basis.

You waive:

• Jury trial
• Class action participation
• Representative proceedings

Arbitration shall be administered by a recognized arbitration provider (e.g., AAA).

You may opt out of arbitration within 30 days of first acceptance by sending written notice to: contact@sias-smart.com.

If arbitration is unenforceable, disputes shall be resolved exclusively in Cyprus courts.

17. Export Control & Sanctions Compliance

You represent that:

• You are not located in a country subject to embargo or sanctions.
• You are not listed on any government prohibited or restricted parties list.

You agree to comply with applicable export control and sanctions laws.

18. Force Majeure

We are not liable for failure or delay caused by events beyond reasonable control, including:

• Natural disasters
• Government actions
• Internet outages
• Platform suspensions
• Cyberattacks
• Infrastructure failures

19. No Agency or Partnership

Nothing in these Terms creates:

• Partnership
• Joint venture
• Agency
• Employment relationship

You and the Company remain independent parties.

20. Governing Law & Venue

These Terms are governed by the laws of the Republic of Cyprus.

For non-U.S. users, disputes shall be resolved exclusively in the courts of Cyprus unless mandatory consumer law requires otherwise.

21. Severability

If any provision is deemed unenforceable, remaining provisions remain valid.

22. Changes to Terms

We may modify these Terms at any time.

Material changes will be posted with updated effective date.

Continued use constitutes acceptance.
